Terms & Conditions.
This Terms of Service Agreement (the “Agreement”) sets forth the terms and conditions on which you (the “Client”) engage Kanwal Creative Studio (“KCS”) to perform certain services as outlined herein. This is a legally binding agreement between you and Kanwal Creative Studio. By becoming a Client of Kanwal Creative Studio, you agree to be legally bound by the terms and conditions set forth in this Agreement. The “Effective Date” of this Agreement shall be the date on which you submit your order for services to Kanwal Creative Studio.
1. Services Provided
1.1 Scope of Services: KCS provides creative digital services, including but not limited to social media management, content creation, strategy development, and more, as outlined in your service agreement or package selection. We reserve the right to modify service descriptions, inclusions, and pricing at any time.
1.2 Service Delivery: Our services begin upon completion of your onboarding process, which includes submitting the required questionnaires and materials. Timely and honest communication is essential for effective delivery.
1.3 Revisions Policy: Once clients send us the cancellation email (that is required to be send 7 days before renewal), the clients are entitled to three rounds of revisions per deliverable within the billing cycle in which the deliverable was created. Deliverables are considered final after explicit approval, and no further revisions will be made for canceled or inactive accounts.
2. Payment Terms
2.1 Fees and Billing: All fees are payable in advance. Subscriptions are auto-renewing monthly unless canceled. A valid payment method must be on file for recurring charges.
2.2 Non-Refundable Payments:
All payments are non-refundable due to the personalized and labor-intensive nature of our services. You are paying for time, effort, and deliverables, not for guaranteed results.
2.3 Payment Disputes:
In the event of a payment dispute, all ongoing work will halt until the matter is resolved. If a dispute is resolved in your favor, you agree to reimburse KCS for any associated fees or losses. Continued non-payment may result in legal action or referral to collections.
3. Refund and Cancellation Policy
3.1 No Refunds Policy:
All services are non-refundable once work begins. If you choose to terminate services, no refunds will be issued for unused time or deliverables.
3.2 Cancellation:
Clients may cancel their subscription via the client portal with a minimum of 7 days’ notice before the next billing cycle. Cancellation does not entitle you to a prorated refund for the current billing cycle.
3.3 Unused Deliverables:
If you fail to provide feedback or approval within 30 days of receiving deliverables, we will consider the batch approved and finalized.
4. Results Disclaimer
4.1 Performance Expectations:
KCS does not guarantee specific results, such as increased engagement, sales, or brand growth, as success depends on various external factors outside our control.
4.2 Client Responsibility:
The client assumes responsibility for the final approval of all content before publication. KCS is not liable for the outcomes of published content.
5. Liability and Indemnity
5.1 Limitation of Liability:
KCS shall not be liable for any indirect, incidental, or consequential damages. In no event will our liability exceed the amount paid for services in the preceding one (1) month.
5.2 Indemnification:
You agree to indemnify and hold KCS harmless against any claims, damages, or liabilities arising from your use of our services, including but not limited to intellectual property disputes or platform suspensions.
6. Technical Issues
6.1 Third-Party Platforms:
KCS is not responsible for issues caused by third-party platforms (e.g., disconnections, password changes). We will provide the content for manual posting if technical issues persist.
6.2 Account Management:
Clients are responsible for ensuring their social media accounts are connected and functioning. Disconnects or platform suspensions do not qualify for refunds.
7. Intellectual Property
7.1 Ownership:
All deliverables created by KCS remain our intellectual property until full payment is received. Upon payment, ownership transfers to the client.
7.2 Usage:
Clients may not use deliverables for purposes outside the agreed-upon scope of work without prior written consent.
8. Miscellaneous
8.1 Amendments:
KCS reserves the right to amend this Agreement at any time. The most current version will always be available on our website, and continued use of our services constitutes acceptance of changes.
8.2 Governing Law:
This Agreement is governed by the laws of [Jurisdiction]. Any disputes will be resolved exclusively in the courts of [Jurisdiction].
8.3 Severability:
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
9. Communication Policy
9.1 Support Channels:
We provide support exclusively via email or our client portal. Phone support is not available to ensure cost efficiency.
9.2 Respectful Interaction:
We expect all communication to be professional and respectful. Rude or abusive behavior will result in immediate termination of services without a refund.
10. Credit Card Disputes
10.1 Policy on Disputes:
By signing up for our services, you agree not to initiate credit card disputes for reasons outlined in this Agreement. Disputes will result in an immediate halt to all services and deliverables.
10.2 Reimbursement:
Should a dispute result in KCS incurring fees or losses, you agree to reimburse us upon resolution. Unpaid amounts may be subject to legal action or collection efforts.
Acknowledgment
By signing up for our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. These policies are designed to ensure a fair, transparent, and mutually beneficial relationship.
